Terms And Conditions Of Sales

General: All orders and quotes are subject to the following terms and conditions of sale. Clerical errors are subject to correction. All price lists are subject to change without notice. All orders become contracts only upon written acceptance by Flow Line Valve and Controls L.L.C., Houma, Louisiana.
Any agreements to modify the conditions of the contract resulting from an acceptance of a costumer's order will not be binding to Flow Line Valve and Controls L.L.C. unless made in writing by Flow Line Valve and Controls L.L.C.

Liability: Orders are accepted by Flow Line Valve and Controls L.L.C. under the conditions that we are not to be liable for losses, detentions or delays caused by accidents, strikes, vandalism, terrorism, fires, acts of war, or the operations of suppliers or any other causes beyond our control and under no circumstances damage for delivery will be allowed. Under no circumstances will Flow Line Valve and Controls L.L.C. assume any responsibly, damage for delay, expense, liability for repairs, or alterations to products without our written consent. Claims for contingent liability or consequential damage will not be recognized or allowed by us.

Warranty: All products manufactured by Flow Line Valve and Controls L.L.C. are guaranteed against defects in material and workmanship for a period of 2 years. Claims for unauthorized repairs, labor, or material will not be allowed. Flow Line Valve and Controls L.L.C. will not warrant claims for corrosion or chemical attack. The customer and or engineering firm representing the customer should perform testing to determine the suitability of Flow Line Valves and their components for line media. All metals and resilient synthetics are guaranteed to be of the material specified. This is the only warranty Flow Line Valve and Controls L.L.C. gives and no other is expressed or implied. This warranty dose not apply to products manufactured by others such as pneumatic, electric actuators or other types of control mechanisms.

Changes of Design: Flow Line Valve and Controls L.L.C. reserves the right to change, modify, or discontinue the design of any product offered. Flow Line Valve and Controls L.L.C. is not under any obligations to replace, issue credit, or install changes or modifications on products previously or subsequently sold.

Rejections: Receipt of material claims can only be made of incorrect quantities and incorrect or defective materials. Claims must be in writing within 5 days from receipt of said material. Flow Line Valve and Controls L.L.C. at its option may inspect the product at the purchasers facility or at our own before allowing or rejecting the purchasers claimed. Written permission from Flow Line Valve and Controls L.L.C. must be obtained before any material may be returned to the factory. Defects that do not impair satisfactory service shall not be a cause for rejection.

Shipments: Prices quoted are F.O.B. Houma, LA. Flow Line Valve and Controls L.L.C. is only responsible for the delivery of our products in good order to the transportation company for delivery to the customer. Flow Line Valve and Controls L.L.C. dose not guarantee delivery to the destination. Claims for damage or shortage in transit must be made by the customer against the carrier. In the absence of definite shipping instructions we reserve the right to ship all material, upon completion, by any public carrier which we deem satisfactory. A charge of 10% will be added to the price of each item when boxed for export.

Taxes: The amount of any present or future sales, use or other similar tax applicable to the material sold hereunder shall be added to the price quoted and shall be billed to the purchaser in the same manner and with the same effects as if originally added here to.

Additional Charges: Upon notification to the customer additional charges will me made to cover the cost of engineering, overtime, taxes, service, unusual packing, financing, or any cost element not included in our prices. Additional charges will be made after notice to purchaser to cover abnormal price increases be our suppliers.
In the event the purchaser is unable to accept shipment in accordance with the terms of his contract, or order, the purchaser shall be liable for but not limited to storage, freight and all extra cost of handling. Flow Line Valve and Controls L.L.C. has the right to demand cash payment or other satisfactory security=s upon customers default of acceptance.

Terms of Payment: Terms for domestic customers are net 30 days from the date of invoice unless otherwise indicated on our quotation. There will be an interest charge of 21% on accounts not paid 30 days after the date of invoice.
Terms for foreign customers are an irrevocable letter of credit to be in the possession Flow Line Valve and Controls L.L.C. before shipment is made from the factory.

Tools, fixtures, etc.: Changes made for tooling, fixtures, etc. are a partial charge and do not convey ownership or the right to remove them from the plant.

Inspection: When orders are accepted subject to customer=s inspection, the products must be inspected and accepted at the Flow Line Valve and Controls L.L.C. point of manufacture.

Return of Goods: Written permission from Flow Line Valve and Controls L.L.C. Houma, Louisiana office must be secured before returning goods for credit. A reasonable charge will be made to cover the cost of reconditioning, restocking, and disassembly of goods to sellable condition.
